1. Acceptance of Terms
These Terms of Use, Sale & Service ("Terms") govern your access to and use of the website located at www.midwestturftech.com (the "Site"), and any purchase of products, parts, accessories, or services from Midwest Turf Tech LLC ("Midwest Turf Tech," "we," "us," or "our").
By accessing the Site, creating an account, placing an order, requesting a quote, scheduling service, or otherwise contacting us, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Site or purchase from us.
If you are entering into these Terms on behalf of a business or other entity, you represent that you have authority to bind that entity.
You must be at least 18 years of age (or the age of majority in your jurisdiction) and able to form a legally binding contract to make a purchase.
2. About Us; Company Information
Midwest Turf Tech provides sales, service, support, installation, and informational resources related to robotic lawn mowers, robotic outdoor power equipment, replacement parts, batteries, and related accessories across multiple manufacturers and brands.
We are located in Burnsville, Minnesota, and serve customers as described in our shipping and service-area policies.
3. Informational Content; No Professional Advice
The information on the Site — including product descriptions, specifications, compatibility guidance, installation tips, troubleshooting articles, diagrams, images, and videos — is provided for general informational and product-guidance purposes only.
It is not professional, engineering, legal, or safety advice and should not be relied upon as a substitute for the manufacturer's official documentation, instructions, and safety warnings. Always read and follow the manufacturer's manual for your specific machine.
We work to keep information accurate but do not warrant that any content on the Site is complete, current, error-free, or applicable to your specific situation.
4. Pricing, Errors & Order Acceptance
4.1 Pricing. All prices are in U.S. dollars and are subject to change without notice. Prices do not include taxes, shipping, handling, or installation unless expressly stated.
4.2 Errors. Despite our efforts, the Site may contain errors in pricing, descriptions, specifications, images, or availability. We reserve the right, at any time and without prior notice, to correct any error, update information, change or discontinue products, limit order quantities, and refuse or cancel any order — including after an order has been submitted or an order confirmation has been sent.
4.3 Order acceptance. Your submission of an order is an offer to buy. No contract of sale exists until we accept your order, which occurs only when we ship the product or expressly confirm acceptance in writing. An automated order acknowledgment or payment authorization does not by itself constitute acceptance.
4.4 Pricing errors after payment. If an item's correct price is higher than the price shown, we may, at our discretion, contact you for instructions before shipping or cancel the order and notify you. If we cancel after charging you, your sole remedy is a full refund of the amount paid.
4.5 Payment. You represent that you are authorized to use the payment method provided and that all payment information is accurate.
5. Product Compatibility — Customer Responsibility
Robotic mower parts and accessories vary by model, model year, firmware version, manufacturer hardware revision, region, and product generation. A part that fits one machine may not fit another that appears similar.
It is your responsibility to confirm that any product is compatible with your specific machine, property, and intended use before purchasing. If you are uncertain, contact us before placing your order and we will help where we can.
Except as required by law or covered by a manufacturer warranty, Midwest Turf Tech is not responsible for damage, performance problems, installation difficulty, downtime, or other issues arising from incorrect product selection, improper installation, misuse, modification, neglect, or failure to follow manufacturer instructions.
6. Availability, Backorders & Shipping
6.1 Some products are stocked by us; others ship from a manufacturer, distributor, or supplier. Availability and lead times are subject to change.
6.2 We make reasonable efforts to communicate delays, backorders, and discontinued items promptly. Estimated shipping, lead-time, and delivery dates are estimates only and are not guaranteed unless we specifically guarantee a date in a signed writing.
6.3 Risk of loss. Unless otherwise agreed in writing, title and risk of loss pass to you upon our delivery of the products to the carrier. Claims for items damaged in transit must be reported promptly and may be subject to carrier claim procedures.
6.4 We are not liable for delays or failures to perform caused by events beyond our reasonable control (see Section 13, Force Majeure).
7. Returns, Cancellations & Refunds
Returns, exchanges, cancellations, restocking fees, and refunds are governed by our Return & Refund Policy, which is incorporated into these Terms by reference. Certain items — including special-order parts, electrical components, batteries, opened software, and items shipped directly from manufacturers — may be non-returnable or subject to restocking fees and manufacturer return rules. Please review that policy before purchasing.
Attorney review needed: Confirm your Return & Refund Policy exists as a separate published page and that its terms (restocking fees, return windows) comply with Minnesota consumer-protection requirements and your payment processor's rules.
8. Installation & Service
8.1 Robotic mower performance depends on many factors outside our control, including property layout, lawn size and shape, grass type and condition, slope and terrain, satellite/GPS visibility, RTK signal, Wi-Fi or cellular coverage, obstacles, weather, app and firmware settings, and ongoing maintenance.
8.2 Installation, setup guidance, troubleshooting, and service recommendations are provided based on the information available to us at the time and the conditions as we observe or are told them. We do not and cannot guarantee flawless performance in every property or condition.
8.3 Customer responsibilities. You are responsible for: maintaining safe operating conditions; reading and following all manufacturer safety instructions; supervising operation of the equipment as the manufacturer requires; keeping pets, children, and bystanders clear of operating equipment; maintaining the mower and property; providing accurate property and access information; and securing any necessary permissions for installation on the property.
8.4 Service scheduling. Service appointments, on-site visits, and quoted service work are subject to scheduling availability, site access, and conditions found on arrival. Quoted service pricing may change if actual conditions differ materially from those described.
8.5 You authorize Midwest Turf Tech and its personnel to access the relevant property to perform any installation or service you request, and you represent that you are the property owner or are authorized to grant such access.
9. Manufacturer Warranties; Limited Warranty Disclaimer
9.1 Manufacturer warranties. Many products are covered by a manufacturer's warranty. All warranty terms, coverage, exclusions, claim approvals, replacement decisions, parts availability, and timelines are controlled solely by the manufacturer, not by Midwest Turf Tech. We may assist with warranty questions and claims as a courtesy, but we do not control or guarantee any warranty outcome.
9.2 Disclaimer of warranties by Midwest Turf Tech. Except for (a) any manufacturer warranty that passes through to you, and (b) any limited warranty we expressly provide in a separate signed writing, all products and services are provided "AS IS" and "AS AVAILABLE."
TO THE FULLEST EXTENT PERMITTED BY LAW, MIDWEST TURF TECH DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
9.3 The Site itself is provided "AS IS." We do not warrant that it will be uninterrupted, secure, or error-free, or that it is free of viruses or other harmful components.
Attorney review needed — important. Implied-warranty disclaimers must be conspicuous (hence the capitalization) and are limited by law. The federal Magnuson-Moss Warranty Act restricts disclaiming implied warranties when you provide your own written warranty or sell a service contract. Some states also restrict "as is" sales to consumers. A Minnesota attorney should confirm this language is enforceable for your customer base and transaction types.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
10.1 In no event will Midwest Turf Tech, or its owners, members, officers, employees, contractors, or suppliers, be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, use, goodwill, equipment downtime, lawn or landscape damage, property damage, loss of use, or business interruption, arising out of or related to the Site, the products, the services, or these Terms — whether based in contract, tort (including negligence), strict liability, or any other theory, and even if we have been advised of the possibility of such damages.
10.2 Liability cap. Our total cumulative liability for all claims arising out of or related to any product, service, or transaction will not exceed the amount you actually paid to Midwest Turf Tech for the specific product or service giving rise to the claim.
10.3 Exclusions. Some jurisdictions do not allow the exclusion or limitation of certain damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law — including, where applicable, liability for death or personal injury caused by negligence, or for fraud. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
Attorney review needed. A liability cap and consequential-damages waiver are generally enforceable between businesses but are scrutinized heavily in consumer sales, especially for products (robotic mowers with blades) that carry real personal-injury risk. Do not rely on this clause to shield against injury claims — confirm scope with counsel and confirm you carry adequate general liability and product liability insurance.
11. Product Safety Acknowledgment
Robotic mowers contain moving blades and are powered equipment that can cause serious injury or property damage if misused. By purchasing, you acknowledge that you will read all manufacturer safety materials, operate and maintain the equipment according to manufacturer instructions, keep people and pets clear during operation, and use all provided safety features. You assume responsibility for safe operation and supervision to the extent permitted by law.
12. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Midwest Turf Tech and its owners, members, officers, employees, and contractors from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your misuse of any product or the Site; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; (d) improper installation, modification, or maintenance performed by you or someone other than Midwest Turf Tech; or (e) your providing access to property you were not authorized to grant.
13. Force Majeure
Midwest Turf Tech is not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, weather, natural disasters, fire, labor disputes, supplier or manufacturer delays, shipping carrier failures, parts shortages, war, terrorism, civil unrest, government action, utility or network outages, pandemics, or epidemics.
14. Intellectual Property
All Site content — text, images, graphics, logos, product descriptions, guides, videos, layouts, and design — is owned by Midwest Turf Tech or used with permission from manufacturers, suppliers, or other rights holders, and is protected by intellectual-property laws.
You may not copy, reproduce, republish, modify, distribute, scrape, data-mine, frame, or use Site content for any commercial purpose without our prior written permission. Manufacturer names, logos, and trademarks are the property of their respective owners; their use on the Site does not imply endorsement or partnership beyond any authorized dealer relationship we hold.
15. Acceptable Use
You agree not to use the Site to: violate any law; infringe any third-party right; introduce malware; attempt to gain unauthorized access to our systems; scrape or harvest data by automated means; interfere with the Site's operation; or submit false, misleading, or fraudulent information. We may suspend or terminate access for any violation.
16. Third-Party Links & Resources
The Site may link to manufacturer websites, manuals, apps, software platforms, or other third-party resources. We do not control and are not responsible for the content, accuracy, policies, security, or performance of any third-party site or service. Accessing third-party resources is at your own risk and subject to their terms.
17. Electronic Communications & Consent
By using the Site or contacting us, you consent to receive communications from us electronically (email, text where you have opted in, and Site notices), and you agree that electronic communications and records satisfy any legal requirement that communications be in writing.
18. Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. Please review it.
Attorney review needed: Ensure a published Privacy Policy exists and addresses any applicable privacy laws and your data practices (analytics, payment processing, marketing).
19. Dispute Resolution; Governing Law
19.1 Governing law. These Terms and any dispute arising out of them or any transaction with Midwest Turf Tech are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws principles.
19.2 Venue. Subject to Section 19.3, you agree that any dispute will be brought exclusively in the state or federal courts located in Dakota County, Minnesota (or the county in which our principal place of business is then located), and you consent to the personal jurisdiction of those courts.
19.3 Informal resolution. Before filing any claim, you agree to first contact us and attempt in good faith to resolve the dispute informally for at least 30 days.
19.4 Time limit. To the extent permitted by law, any claim arising out of or related to the Site, a product, or a service must be brought within one (1) year after the claim arose, or it is permanently barred.
Attorney review needed — decision point. You may wish to add a binding arbitration clause and class-action waiver. These can significantly limit litigation exposure but have strict drafting and enforceability requirements (and consumer-facing disadvantages). A shortened limitations period also must comply with Minnesota law. Have counsel decide whether arbitration fits your business and draft it properly if so.
20. Changes to These Terms
We may update these Terms at any time. The current version will be posted on this page with a revised "Last Updated" date. Material changes take effect when posted, and your continued use of the Site or purchase of products after changes are posted constitutes acceptance. The version in effect at the time of your transaction governs that transaction.
21. General Provisions
21.1 Severability. If any provision is found unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions remain in full force.
21.2 No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
21.3 Entire agreement. These Terms, together with our Privacy Policy, Return & Refund Policy, and any written agreement or signed quote, constitute the entire agreement between you and Midwest Turf Tech regarding the Site and your purchases, and supersede prior understandings on that subject.
21.4 Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
21.5 No third-party beneficiaries. These Terms create no rights in any third party except as expressly stated (e.g., indemnified parties).
21.6 Headings. Section headings are for convenience only and do not affect interpretation.
